Terms of Service

These Terms of Service ("Terms") are an agreement between Samba.pk ("Samba", "we", "us") and the business or person that creates a Samba account ("you"). They apply to samba.pk and to the Samba business software, mobile and desktop apps (together, the "Service").

By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you accept on behalf of a business, you confirm you are authorised to bind it.

1. Your account

  • You must be at least 18 and give accurate, current information when you register.
  • You are responsible for keeping your login details secure and for everything done under your account, including by staff you invite.
  • You decide which staff can access the Service and what they can do through roles and permissions.
  • Tell us at once at support@samba.pk if you suspect unauthorised access.

2. Plans, trials and billing

  • Plans, features and prices are listed on our pricing page in Pakistani Rupees (PKR). Prices exclude taxes, which are added where applicable.
  • The free trial gives full access for the period shown on the pricing page and needs no payment details. At the end of the trial you can choose a paid plan or move to the free plan.
  • Paid plans are billed in advance, monthly or yearly. They renew automatically until you cancel.
  • You can upgrade or downgrade at any time; changes are prorated to the day.
  • If a payment fails or is overdue, we will remind you; if it remains unpaid we may limit the account to read-only access or suspend it until payment is made. Your data is not deleted because of a late payment.
  • Fees already paid are non-refundable, except where these Terms or the law say otherwise, or if we end the Service without cause (section 9).
  • We may change prices with at least 30 days' notice; the new price applies from your next billing period.

3. Your data

  • Everything your business enters into Samba ("Customer Data") belongs to you. We claim no ownership of it.
  • You give us permission to host, process and back up Customer Data only to provide, secure and support the Service, as described in our Privacy Policy.
  • You can export your Customer Data at any time while your account is active and for 30 days after it ends.
  • You are responsible for the accuracy and legality of Customer Data and for having the right to collect and use it, including your customers' contact details and consent to the messages you send them.

4. Taxes and business records

Samba helps you keep records and produce tax-ready reports, but it is not tax, legal or accounting advice. You remain responsible for your filings with the Federal Board of Revenue and provincial authorities, for the correctness of your invoices and tax settings, and for keeping records for as long as the law requires.

5. Acceptable use

You agree not to, and not to let anyone else:

  • use the Service for anything unlawful, fraudulent, or in breach of the Prevention of Electronic Crimes Act, 2016 or other applicable law;
  • send spam or unsolicited messages through the Service's email, SMS or WhatsApp features;
  • upload malware, or try to break, overload, scan or bypass the security of the Service;
  • access another business's data or accounts without permission;
  • copy, resell, sub-license, reverse engineer or build a competing product from the Service, except as the law expressly allows;
  • use automated means to extract data from the Service other than our documented exports and APIs.

We may suspend access that puts the Service, other customers or the public at risk. Where reasonable, we will tell you first and give you a chance to fix the problem.

6. Third-party services

Some features connect to services we do not control, such as WhatsApp, SMS gateways, payment providers and Google sign-in. Your use of those services is also governed by their own terms, and we are not responsible for their availability or actions.

7. Availability, changes and support

  • We work to keep the Service available around the clock, but it is provided without a guaranteed uptime unless we agree one with you in writing. Planned maintenance is announced in advance where possible.
  • We keep improving Samba and may add, change or remove features. If we remove a core feature of your paid plan, we will give reasonable notice.
  • Support is available by email at support@samba.pk and through the channels listed on our website.

8. Our intellectual property

The Service, including its software, design, logos and content, belongs to Samba and its licensors. We give you a limited, non-exclusive, non-transferable right to use it for your business while your account is in good standing. If you send us feedback, we may use it freely to improve the Service.

9. Cancellation and termination

  • You can cancel at any time from billing settings. Paid access continues until the end of the period already paid for.
  • We may suspend or close an account that seriously or repeatedly breaches these Terms, after notice where reasonable.
  • We may stop offering the Service with at least 60 days' notice, and will refund any fees paid for the period after it ends.
  • After an account ends you have 30 days to export your Customer Data; we then delete it as described in our Privacy Policy.

10. Disclaimer

Apart from the commitments in these Terms, the Service is provided "as is" and "as available". To the extent the law allows, we make no other warranties, including that the Service will be uninterrupted or error-free or that reports will meet every regulatory requirement of your business.

11. Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect or consequential losses, or for lost profits, revenue, goodwill or data that could have been avoided by using the Service's export features;
  • each party's total liability arising from these Terms is limited to the fees you paid Samba in the 12 months before the event giving rise to the claim (or PKR 10,000 if you have only used free plans).

Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else that cannot be limited by law.

12. Indemnity

You will compensate Samba for claims brought by third parties that arise from your Customer Data, the messages you send through the Service, or your breach of these Terms or of the law.

13. Changes to these Terms

We may update these Terms. We will change the "last updated" date above and give account owners at least 30 days' notice of material changes by email or in the app. If you continue using the Service after a change takes effect, the updated Terms apply; if you do not agree, you can cancel before then.

14. Governing law and disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan. We will first try to resolve any dispute informally — please contact support@samba.pk. If it cannot be resolved within 30 days, the courts at Lahore have exclusive jurisdiction.

15. General

These Terms and the Privacy Policy are the entire agreement between us about the Service. If any part is found unenforceable, the rest stays in effect. You may not transfer your account without our consent; we may transfer these Terms as part of a merger or sale of our business. Failing to enforce a right is not a waiver of it.
